Problem
Startups have become a significant driver of employment and technological development
across EU member states. Although these ventures offer high-growth opportunities, they
face challenges in securing sufficient capital to scale their operations. Equity crowdfunding
(ECF) has emerged as an alternative funding mechanism, enabling early-stage ventures to
raise capital and validate their business model. However, the amounts raised through ECF
are typically insufficient for large-scale operations, making subsequent venture capital (VC)
financing a natural next step.
Aim
This study examines which signals of venture quality are associated with successful
outcomes across both ECF and VC financing contexts.
Theoretical framework
The study applies signalling theory to explain how entrepreneurs communicate
unobservable venture quality under conditions of information asymmetry. Since the non
professional crowd and VC investors differ in analytical capabilities, the same signal may be
interpreted differently across financing contexts
Method
A qualitative multiple case study design was employed, analysing five UK-based ventures
with different financing trajectories between 2018 and 2025. Data were collected exclusively
from publicly available secondary sources and analysed using qualitative content analysis
structured around four signal categories: Human Capital, Product & Market, Financial
Structure, and Social Capital.
Result and Implications
The results show that founding team expertise, demonstrated market demand and third
party validation are associated with successful outcomes in both ECF and VC contexts.
However, the interpretation of a high-quality signal shifts depending on the investor
audience. The findings further reveal that when certain signals are absent, VCs are willing to
accept compensatory signals in favour of future scalability and market potential, to a greater
extent compared to the crowd. Finally, the case analysis presents insights regarding how
ECF, beyond its role as a financing tool, can serve as a signalling instrument that makes
venture quality visible to institutional investors.
